Incorporated on 14th August 1855.
A line running 1½ miles from Gosport (connecting with the L&SW) and Stokes Bay where the Isle of Wight Ferry was reached. The line was worked by the London and South Western Railway who paid a rent annually, and passed to them in 1875.

Total Capital £40,000 in shares, including £16,000 in 6% preference shares created in 1859. Loans of £13,000.
